• UI/UX Design: Prototypes, wireframes, and high-fidelity interfaces.
• Branding & Creative: Logos, visual identity kits, content graphics, motion design.
• Full Stack Solutions: Frontend, backend, database apps, admin panels, CRMs, SaaS.
• Maintenance & Support: Available only if explicitly requested by the client as an add-on service, subject to separate agreement and pricing.

2. Engagement & Project Process

• Projects begin after written acceptance of scope, timeline, and pricing.
• Timely communication is expected via email or preferred channel.
• Clients must provide all assets and credentials before development.
• Milestones require approval or feedback within agreed timelines.

3. Intellectual Property Rights

All content and code remain the intellectual property of Okebird until full payment is received. You are granted a non-exclusive license to use the deliverables for your business only. You may not resell, republish, or redistribute them without permission.

4. Payment Terms

• A 60% advance is required before project commencement.
• The remaining 40% is due before final delivery or deployment.
• All payments must be made within the specified timeline on the invoice (typically 5 calendar days). Delays will incur a 2% weekly penalty and may result in a temporary suspension of services.
• Non-payment beyond 14 days of the due date may lead to project termination, revocation of access to all deliverables, and legal recovery of dues.
• In the event of a payment dispute, Okebird reserves the right to withhold ongoing work, suspend licenses, or restrict access to any digital assets or deliverables until the issue is resolved.
• All payments are non-refundable unless explicitly agreed in writing.

5. Confidentiality & Data

We treat your project and business information confidentially. You agree not to disclose Okebird proposals, processes, or source code to third parties.

6. Data Protection & GDPR Compliance

Both parties agree to handle user data according to applicable laws. Clients are responsible for GDPR compliance on their platforms and collecting proper consent.

7. Client Responsibilities

• Provide prompt approvals and content assets.
• Ensure legal ownership of all submitted materials.
• Respond within 48 hours to communications during active projects.

8. Limitation of Liability

Okebird shall not be held liable for any indirect, incidental, special, or consequential damages, including loss of business, service interruptions, or data breaches.

9. Warranties & Disclaimers

We do not guarantee specific business outcomes, website traffic, or search engine rankings. Services are provided "as-is" unless you are under a signed maintenance agreement.

9.5 Limitation of Service

Okebird reserves the right to refuse, restrict, or discontinue service to any client at our discretion, particularly in cases of non-cooperation, abuse, unethical conduct, or where the project falls outside the scope of our expertise or values.

We may also suspend services temporarily for maintenance, upgrades, legal compliance, or unforeseen operational needs.

10. Termination

Either party may terminate the project with written notice. However, termination does not absolve the client from paying for all work completed up to the date of termination.

Okebird reserves the right to terminate or suspend services immediately, without refund, if:

• The client fails to pay outstanding dues within 14 days of invoice due date.
• The client breaches any material term of these Terms and Conditions.
• The client engages in unethical, illegal, or abusive behavior that impacts our operations.

In such cases, Okebird retains the right to revoke access to deliverables, code repositories, or hosting environments until obligations are fulfilled.

11. Dispute Resolution

At Okebird, we believe in resolving all matters with professionalism and mutual respect. In the event of any disagreement or dispute, both parties agree to first attempt to resolve the issue through direct and informal communication.

We encourage open dialogue to understand and address concerns before considering any further action. Legal proceedings will be considered only as a last resort and with clear mutual intent.

12. Force Majeure

Okebird will not be held responsible for delays caused by events beyond our control, including natural disasters, internet failures, or regulatory issues.

13. Changes to These Terms

Okebird reserves the right to update or modify these Terms at any time, with or without prior notice. Any changes will be effective immediately upon posting on our website at www.okebird.studio/terms.

We encourage users to review this page periodically to stay informed of any updates. Continued use of our services after changes are posted will constitute your acceptance of the revised terms.
